Welcome to www.outdoornook.com (the "Site"). These Terms of Service ("Terms") govern your access to and use of the Site and the purchase of products offered by Terrace Living Co., Inc., a Nevada corporation, doing business as "Outdoor Nook USA" ("Company," "we," "us," or "our"). By accessing or using the Site, placing an order, or otherwise using our services, you ("you," "your," or "Customer") agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Site or place an order. By using the Site, you represent and warrant that you meet these requirements. If you are using the Site on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

2. Changes to These Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when posted to the Site and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. We encourage you to review these Terms periodically. The "Effective Date" above indicates when these Terms were last revised.

3. Products, Pricing & Availability

We attempt to be as accurate as possible in describing our products, including dimensions, materials, colors, and images. However, we do not warrant that product descriptions, photographs, pricing, or other content on the Site is accurate, complete, reliable, current, or error-free.

All prices are listed in U.S. Dollars and are subject to change without notice. We reserve the right, at any time, to: (a) modify or discontinue any product; (b) limit the quantities of any product we offer; (c) refuse any order placed with us; and (d) correct any pricing or typographical errors, even after an order has been submitted or confirmed, in which case we will notify you and issue a refund if payment has already been collected for the affected item.

Product availability, including pre-order and estimated shipping dates displayed on the Site, is provided as an estimate only and is not a guarantee of delivery by a specific date.

4. Orders & Payment

When you place an order, you are making an offer to purchase the product(s) in your cart. We reserve the right to accept or decline your order for any reason, including suspected fraud, unauthorized or illegal activity, errors in pricing or product information, or unavailability of inventory.

You agree to provide current, complete, and accurate purchase and account information for all purchases made on the Site. You are responsible for all charges incurred under your account, including applicable taxes and shipping charges. Payment is processed through third-party payment processors, and by submitting payment information you represent that you are authorized to use the payment method provided.

5. Shipping, Delivery & Risk of Loss

Shipping timeframes and methods are described on the Site and may vary by product, destination, and carrier availability. Title and risk of loss for products pass to you upon our delivery to the carrier. Please refer to our Shipping information on the Site for additional detail.

6. Returns, Refunds & Warranty

Our returns and refund policies, including applicable timeframes and any restocking fees, are described on our Returns page. Product warranty coverage is described in our Warranty page. Both pages are incorporated into these Terms by reference. In the event of a conflict between this section and the Returns or Warranty pages, the more specific policy on those pages will govern with respect to returns, refunds, and warranty claims.

7. Accounts

If you create an account on the Site, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account information.

8. Acceptable Use

You agree not to use the Site to:

Violate any applicable local, state, national, or international law or regulation;
Infringe upon or violate our intellectual property rights or the intellectual property rights of others;
Transmit any material that is unlawful, harassing, defamatory, or otherwise objectionable;
Attempt to interfere with, compromise the security of, or disrupt the Site or any servers or networks connected to the Site;
Use any automated means, including bots, scrapers, or crawlers, to access the Site for any purpose without our prior written consent; or
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site.

9. Intellectual Property

The Site and its entire contents, features, and functionality (including but not limited to all text, graphics, logos, images, product photography, and the design, selection, and arrangement thereof) are owned by Terrace Living Co., Inc., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Certain products sold on the Site incorporate technology covered by a pending U.S. patent application owned by Terrace Living Co., Inc. or its principal. No license or right is granted to you to use any Company trademark, trade dress, patent-pending technology, or copyrighted material without our prior written consent.

10. User-Submitted Content

If you submit, post, or transmit any reviews, comments, photographs, or other content to the Site ("User Content"), you grant us a non-exclusive, royalty-free, perpetual, worldwide, transferable license to use, reproduce, modify, publish, and display such User Content in connection with the Site and our marketing of our products. You represent that you own or have the necessary rights to grant this license and that your User Content does not violate the rights of any third party.

11. Third-Party Links & Services

The Site may contain links to third-party websites or services that are not owned or controlled by us, including payment processors, shipping carriers, and review platforms. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You access such third-party sites entirely at your own risk.

12. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS, CONTENT, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, EXCEPT AS EXPRESSLY SET FORTH IN OUR WARRANTY PAGE WITH RESPECT TO OUR PRODUCTS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TERRACE LIVING CO., INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY PRODUCTS PURCHASED THROUGH IT, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Terrace Living Co., Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

15. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to them or the Site will be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the products sold through it shall first be attempted to be resolved through good-faith informal negotiation. If the dispute is not resolved within thirty (30) days, either party may pursue the dispute exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of such courts and waive any objection to venue in those courts.

You agree to bring any claim on an individual basis only, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding, to the fullest extent permitted by law.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

17. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of the Company.

18. Entire Agreement

These Terms, together with our Privacy Policy, Returns policy, and Warranty page, constitute the entire agreement between you and the Company regarding your use of the Site and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.

19. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms, in whole or in part, at any time without notice or consent.
